You’re a sponsor-owned primary care physician practice focusing on the Medicare Advantage (MA) market. Your company consists of fourteen individual clinical offices in the Southeast working collaboratively to provide world-class primary healthcare options under both capitated MA and Fee for Service (FFS) payment structures. After a significant number of senior leadership departures, you need to assess strategic alternatives—and that’s where we come in.​

We come on board as Chief Restructuring Officer to develop a value creation plan and analyze viable routes forward. On top of creating a 13-week cash flow forecast and developing a monthly business plan re-forecast with all key drivers identified and assumptions documented, we:

  • Incorporate clinic and affiliate performance forecasts for both Managed Service Organization (MSO) and FFS patients into a bottoms-up business plan.
  • Develop operating expenses based on a run rate of historical spend, or in the case of personnel, actual and forecasted headcount, and salaries.
  • Integrate the model across income statement, cash flow, and balance sheet.
  • Identify targeted improvement in Medical Loss Ratios (MLRs), Medical Risk Adjustments (MRAs), and provider utilization.
  • Create project plans for credentialing and optimizing payor contract economics, as well as revenue cycle management improvement and maximizing billing opportunities.
  • Evaluate opportunities to rationalize overhead expenses.

Based on the inherent execution risk in the value creation plan and the funding required to effectuate, the stakeholders engage an investment banker to explore transaction opportunities. In addition to assisting with managing the day-to-day activities, we continue our support by partnering with the investment banker on sell-side advisory related to data room, diligence requests, and management meetings.
